Services
BECOMEVIVID INC. ("VIVID", "we", "us") provides creative production services including branding, video production, photography, audio and podcast production, web and digital, events and live production, print and merchandise, and studio rental.
All services are subject to a written project scope agreed upon before work begins. The scope defines deliverables, timeline, and pricing. Work outside the agreed scope is subject to a change order.
Payment
Payment terms are specified in each project scope or invoice. Unless otherwise agreed, a deposit is required before work begins. The remaining balance is due upon delivery of final files.
Invoices not paid within the agreed terms may result in a pause of work. VIVID reserves the right to withhold final deliverables until payment is received in full.
Intellectual property
Upon receipt of full payment, the client receives full ownership of all final deliverables produced under the agreed scope. This includes source files unless otherwise specified.
VIVID retains the right to display work in its portfolio and marketing materials unless the client requests otherwise in writing prior to project completion.
Any third-party assets (stock photography, licensed fonts, music) used in a project are subject to their respective licence terms. VIVID will advise on any licence restrictions that apply.
Revisions
The number of revision rounds included in a project is specified in the scope. Revisions beyond the agreed number are billed at the applicable hourly or day rate.
A revision is a change to existing work. A new direction or significant departure from the approved brief is considered a new scope item.
Cancellation
If a client cancels a project after work has begun, VIVID will invoice for work completed to the date of cancellation at the agreed rate. Deposits are non-refundable.
If VIVID is unable to complete a project due to circumstances on our end, we will refund any amounts paid for work not yet delivered.
Limitation of liability
VIVID's liability for any claim arising from services provided is limited to the amount paid by the client for the specific project giving rise to the claim.
VIVID is not liable for indirect, incidental, or consequential damages, including lost profits or business interruption.
Governing law
These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes will be resolved in the courts of Ontario.

We may update these terms from time to time. When we do, we will update the date at the top of this page. Continued use of our services after a change constitutes acceptance of the updated terms.
